Purpose and Intended Use

Cluegent is designed as a professional communication and productivity tool for sales calls, business meetings, learning sessions, technical discussions, and similar permitted contexts.

Use of Cluegent for dishonest, deceptive, fraudulent, or prohibited purposes is not endorsed. This includes any use that violates job interview rules, academic exam rules, assessment rules, workplace policies, platform terms, or third-party requirements.

AI responses may be incomplete, inaccurate, or inappropriate for your situation. You are responsible for reviewing, verifying, and deciding whether to rely on any output.

Account

You may need to sign in with Google to use Cluegent. You are responsible for keeping your account secure and for activity that occurs under your account. You must provide accurate account and billing information when subscribing.

Subscriptions and Billing

Paid plans are billed through Razorpay. Plan limits, pricing, and included usage are shown in the app or on the website. Subscription access is connected to your signed-in Cluegent account.

Refund and Cancellation Policy

Cluegent does not provide refunds once a subscription is purchased. If you cancel a subscription, cancellation takes effect immediately. Access to paid plan features may stop immediately, and your account may return to the free trial or free plan limits.

By subscribing, you understand that cancellation does not continue paid access until the end of the billing period and does not create a refund for unused time.

User Obligations and Responsibilities

You acknowledge and agree that you are solely and entirely responsible for your use of Cluegent, including responsibility for:

• Complying with all applicable international, national, state, and local laws, including privacy, wiretapping, recording, employment, and communications laws.
• Obtaining explicit, prior consent from all required participants before activating any feature that may capture, record, transcribe, screenshot, or process audio, video, screen, or conversation content.
• Understanding and following one-party, two-party, or all-party consent requirements that apply in your jurisdiction.
• Following the terms, acceptable-use policies, and rules of any third-party platform used with Cluegent, including Zoom, Google Meet, Microsoft Teams, Slack, coding platforms, assessment platforms, and workplace tools.
• Ensuring your use of AI assistance is disclosed where disclosure is required by law, policy, rule, or agreement.

Acceptable Use Policy

You agree not to use Cluegent to:

• Violate any law, regulation, platform rule, workplace policy, school policy, interview rule, or meeting requirement.
• Record, transcribe, screenshot, or process a conversation where you do not have required permission.
• Cheat, commit fraud, impersonate others, or misrepresent AI assistance where disclosure is required.
• Create, request, or distribute harmful, abusive, illegal, deceptive, or infringing content.
• Reverse engineer protected backend systems, bypass rate limits, exploit bugs, or interfere with service security.
• Share your account or use automated access to abuse Cluegent services.

Any unauthorized, prohibited, dishonest, or illegal use is a material breach of these Terms. We may suspend or terminate access immediately, without prior notice, if we believe your use creates legal, security, payment, abuse, platform, or third-party risk.

User Content

You retain ownership of content you submit, such as prompts, transcripts, screenshots, and local meeting records. You grant Cluegent the limited permission needed to process that content to provide the requested features.

Third-Party Services

Cluegent uses third-party services for authentication, backend infrastructure, payments, speech-to-text, AI responses, and hosting. These services may have their own terms and privacy policies.

Cluegent is not endorsed by, sponsored by, or affiliated with third-party meeting, productivity, coding, assessment, or communication platforms unless expressly stated.

Open Source License

Cluegent is distributed under AGPL-3.0. Source code and license information are available on GitHub.

Indemnification

You agree to indemnify, defend, and hold harmless Cluegent, its owners, officers, directors, employees, contractors, agents, and affiliates from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of Cluegent, your violation of these Terms, your violation of any law or third-party right, or your misuse of the Service.

Disclaimer of Warranties

Cluegent is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

We do not guarantee uninterrupted availability, perfect transcription, accurate AI responses, compatibility with every app, device, platform, or workflow, or that any desktop overlay behavior will work in all environments. If the term "undetectable" is used anywhere in product materials, it refers only to standard screen-capture behavior of the overlay and does not guarantee evasion of all detection methods, monitoring systems, platform controls, security tools, or policy requirements.

Limitation of Liability

To the maximum extent permitted by law, Cluegent and its owners, officers, directors, employees, contractors, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost employment or business opportunities, reputational harm, business interruption, or third-party claims arising from your use of Cluegent.

To the maximum extent permitted by law, our total liability for any claim will not exceed the fees you paid to Cluegent in the one month immediately before the event giving rise to the claim.

Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law rules, except where mandatory consumer protection laws require otherwise. Any dispute arising from or relating to these Terms or Cluegent will be resolved exclusively in the courts located in Chennai, Tamil Nadu, India, and you waive objections to venue and personal jurisdiction to the extent permitted by law.
